This example uses Usage: Paid ads, time-limited · Exclusivity: 30 or 90 days · Payment: Net 30 · Revisions: 1–2 rounds · Cancellation: Mutual or kill fee · Ownership: Creator retains ownership · Ads from your account: None or a fixed term. Select the terms in your draft to see what deserves a closer look.

This is educational guidance, not legal advice. It does not read a PDF or replace a lawyer.

How it works

  1. 1

    Map the four core terms

Every sponsorship draft has usage, exclusivity, payment, and revision language. Match what the brand actually offered, not what you hope it meant.

  2. 2

Open Advanced options when they apply

Cancellation, ownership, and whitelisting stay hidden until they appear in the draft. Defaults still produce a valid review.

  3. 3

    Review flags, then ask instead

Red and watch items come with a bounded alternative. Price paid usage and short exclusivity in the related calculators. This tool does not draft clauses.

Common creator contract red flags

Usage rights
Organic placement covers the post on your channel. Time-limited paid ads are a watch. Perpetual, buyout, or unspecified usage is a red flag.
Exclusivity
No exclusivity is clear. A 30- or 90-day lock should be named and paid. Six months or more, or an uncapped category, is a red flag.
Payment
A deposit or a dated net-30 window is acceptable for this checklist. Pay-on-performance and product-only compensation are red flags.
Revisions
One or two included rounds keep production scoped. Unlimited revisions are a red flag. Silence is a watch because it often becomes unlimited in practice.
Cancellation
Mutual exit or a kill fee after work starts is the clear path. A brand-cancels-anytime clause is a red flag. Silence is a watch.
Ownership
You keep the work and grant a license. Assigning the work to the brand is a red flag. Silence is a watch.
Whitelisting
No handle ads, or a dated authorization, is clear. Uncapped ads from your identity are a red flag. Silence is a watch.

What "unspecified" means

An unspecified term is not a free pass. If the draft is silent on usage, revisions, cancellation, ownership, or handle ads, later conversations often fill that gap with the brand's preferred reading.

The checklist treats those gaps as watch or red items so you can write a bounded alternative: a dated license, a round count, a kill fee, or an explicit "not included." Silence is the trap. Clarity is the ask.

Dealberry contract red flag methodology

Each selected option maps to a versioned rule with a severity of clear, watch, or red. Clear options appear under "Looks acceptable." Watch and red options become flags, red first.

Low = 0 red and ≤1 watch. Elevated = 1 red or ≥2 watch. High = ≥2 red, or perpetual + product-only, or unlimited revisions + unspecified.

Fees never enter the score. The checklist does not invent market percentages or decide whether a quote is "fair." This is educational guidance, not legal advice.

Limitations

  • This is educational guidance, not legal advice.
  • The checklist does not read PDFs, draft clauses, or score whether the fee is fair.
  • Jurisdiction, employment status, complex NDAs, indemnification, and deals involving minors are out of scope.
  • Related calculators price usage rights and 30- or 90-day exclusivity. This tool only flags when those terms are dangerous to accept as written.

Creator contract red flag checklist FAQ

Is this legal advice?

No. This is educational guidance, not legal advice. It does not review a contract, draft a clause, or replace a lawyer. Jurisdiction, employment status, NDAs, and deals involving minors are out of scope.

Can I upload a PDF or paste the contract?

No. The checklist maps seven commercial terms you select. It does not read documents or generate clause language.

What does unspecified mean?

Silence is not neutral. If usage, exclusivity, revisions, cancellation, ownership, or whitelisting is missing, brands often later read that gap in their favor. The checklist flags those gaps so you can write a bounded alternative.

Does a high-risk result mean I should walk away?

No. High risk means two or more red flags, or a stacked trap such as a buyout plus product-only pay. Use the asks to narrow the terms. Walking away is a business choice, not something this tool decides.

Why are fees ignored?

A large fee does not make perpetual rights, unpaid exclusivity, or unlimited revisions safer. Price usage and exclusivity in the related calculators. This checklist only inspects the terms already on the table.

Does Dealberry review the contract for me?

No. Dealberry organizes the conversation, proposal, deliverables, follow-ups, and payment after you decide the terms. It is not a law firm and does not offer contract review.

Keep the agreed terms with the rest of the deal

Once the flags are resolved, track the conversation, proposal, deliverables, follow-ups, and payment in Dealberry instead of spreading them across DMs, spreadsheets, and inboxes.
